Their clients range across a broad class of industry classification from corporate raiders, private equity investors, large investment bankers, managements, buyout and other funds, large companies and institutional investors to small family businesses.
This opportunity is to work in the team of a very well known Solicitor.
The candidate should have extensive experience in handling Corporate law transactions including Mergers and Acquisitions, Joint Ventures, Private Equity, Capital Markets, General Advisory.
Job Requirements
An energetic, self-motivated and a creative problem-solver willing to grow with our firm would be the perfect candidate. Duties include, but are not limited to the following:
• Conceptualization and structuring of transactions.
• Drafting and negotiating term sheets/letters of intent.
• Conducting legal due diligence reviews and preparing due diligence report.
• Drafting and negotiating share purchase / share subscription agreement, shareholders agreement, asset transfer agreement, call & put option agreement, escrow agreement, comfort letters etc.
• Drafting applications for obtaining regulatory approvals and assisting in the process.
• Ensuring compliance of the conditions precedent.
• Ensuring closing of the transaction.
• Advising on suitable exit strategies, including transfer of shares, buy back etc.
Along with these duties, the candidate will have to manage Tier I clients in the organization.
Candidates with experience in Client acquisition, Retention of old clients etc will be preferred.
